PANEL REGISTRATION TERMS OF USE

Thank for visiting www.outsizedopinions.com, and any associated mobile apps, and interactive services (collectively, the “Site”) which is owned by Outsized Insights, Inc. (“we”, us”, or “Outsized Opinions”) and for registering to become an enrollee, participant, panelist or respondent of Outsized Insights (a “Panel Member”).

Participation as a Panel Member is always optional and voluntary. You may withdraw from your participation at any time, subject to the ACCOUNT CLOSURE AND REACTIVATION section below.

PLEASE READ THIS PAGE CAREFULLY AS THESE PANEL MEMBER TERMS OF USE (“PANEL MEMBER TERMS”), IN ADDITION TO THE GENERAL WEBSITE TERMS (“WEBSITE TERMS”) AND ANY ADDITIONAL TERMS WHICH MAY BE APPLICABLE TO YOUR PARTICIPATION IN AN INDIVIDUAL REWARD CAMPAIGN OR FUNDRAISING CAMPAIGN (COLLECTIVELY, THE “TERMS”) GOVERN YOUR USE OF THE SITE, REGISTRATION, AND PARTICIPATION AS A PANEL MEMBER.

We may periodically change these Panel Member Terms, so please check them from time to time as your continued use of the Site signifies your acceptance of any changed terms. In the event of a conflict between these Panel Member Terms and the Website Terms, FAQS, and any other terms on the Site, these Panel Member Terms shall prevail. The Terms of use contain provisions that limit our liability to you.

1. REGISTRATION. In order to participate as a Panel Member, you will be required to register and to provide Personal Information (as defined in the PRIVACY POLICY) in connection with such participation. You may only open, create, use or maintain one (1) account or identity. You may not sign up using multiple email addresses. As a condition of membership, you are required to truthfully provide all information requested by Outsized Opinions as it relates to your specific demographic profile or personal information, and you are strictly prohibited from using any aliases or other means to mask or conceal your true identity. In addition, you may never impersonate any person or entity or misrepresent your affiliation with a person or entity.

If you register using a connected social media account (Facebook, Instagram or Twitter), you confirm that you are the sole owner of the profile associated with the account, that you have sole authorization to sign up / sign in with the social media account, that you do not have multiple accounts or profiles associated with any of the individual platforms, and that the profiles on these platforms represent a singular, valid, honest, non-fictious representation of yourself. You may not sign up or log in using multiple social media platforms.

By agreeing to become a Panel Member, you agree to receive email and/or text message invitations to participate in surveys or to communicate with you in relation to the Site. The frequency of contact can be modified in your account setting. If you refuse all communications from Outsized Opinions, then you have effectively “Opted Out” and cancelled your participation as a Panel Member (subject to the ACCOUNT CLOSURE AND REACTIVATION section below).

2. REWARDS PROGRAM. Outsized Opinions may offer one or more rewards programs (each a “Rewards Program”, and collectively the “Rewards Programs”) under which you may have the opportunity to earn reward points (“Points”), for completing surveys or survey-related activities, which are redeemable for Rewards (defined below). Outsized Opinions may limit, suspend or terminate your ability to participate in a Rewards Program in its sole and absolute discretion, and may void any Points, rewards, or potential Points you may have earned or accumulated in a Rewards Program, if we determine in our sole discretion that you have not complied with the Terms. You agree to abide by the final and binding decisions of Outsized Opinions regarding any Rewards Program and your participation in it. We reserve the right to change, suspend, or cancel all or a portion of a Rewards Program, including any Points you may have accrued, at any time without prior notice to you.

3. PASSWORDS. To become a Panel Member you must create a username associated with an email address and a password to access your account ("Account"). You are solely responsible for the security of your username and password. You are solely liable and responsible for any use or unauthorized use of your Account and for any and all activity that occurs on your Account. You must keep your Account username and password secure, including but not limited to the theft of your password outside of Outsized Opinion’s control.

In no event may Outsized Opinions be responsible for the theft or redemption of any Points as a result an insecure password. You may never use another panelist's account without permission or to earn Points on their behalf. You must promptly notify Outsized Opinion of any breach of security or unauthorized use of your Account.

4. HOME ADDRESS; KEEPING ACCOUNT CURRENT. To combat fraud and confirm identify of individual Panel Members, Outsized Opinions requires Home Address Validation prior to the redemption of Points or creation of a Fundraiser. Upon accumulation of 500 Points for redemption of individual Rewards (the specific number of Points may be altered at any time), Outsized Opinions will send a secure pin code, via United States Postal Service, to the Home Address listed in the account. When the secure pin code has been entered into the Site (as defined in the Website Terms) at the appropriate location, and the code has been validated, and upon reaching the minimum threshold of reward points required for redemption, you may redeem Points in compliance with the Terms.

Maintaining an accurate home address is important for conducting actionable and appropriately diverse market research. Outsized Opinions requires re-verification of any changed home address to receive Rewards. Changing your address within the site will trigger a new secure pin to be sent to your new address. Further, Outsized Opinions may choose to require re-verification of home address at any time, for any reason, at our discretion.

To continue to be a Panel Member, you agree to review and update, as necessary, your membership profile no less frequently than once every six (6) months. A Panel Member may update, correct, and/or delete incorrect information contained in his or her membership profiles by accessing his or her Account.

We may require two-factor authentication (“2FA”) via a valid phone number or email tied to the Account before changing certain fields of information including, but not limited to, home address, phone or email address which may affect delivery of Points.

5. POINTS.

EARNING. You can earn Points for completing surveys or participating in services available on the Site. The receipt and redemption of any Points is subject to and in accordance with these Panel Member Terms. In order to earn Points, you must first answer a few to several pre-screening questions that will help determine if you qualify to participate in the survey. Only after you qualify for the survey AND IF you complete the ENTIRE SURVEY, or successfully complete some other offered activity, will you be eligible to earn Points. If you do not qualify for the survey after answering the pre-screener questions, or you do not qualify to participate in another activity, you DO NOT earn any Points. The company may choose to award a nominal number of Points, at their sole discretion, for surveys that you do not qualify for.

For avoidance of doubt, Outsized Opinions shall not be responsible for, nor shall Outsized Opinions be obligated to award points for, any activity that is not properly re-directed, recorded, tracked, routed and/or deemed approved under Outsized Opinions’ or our third-party affiliates’ policies, procedures and systems. Please be sure to review all applicable terms before deciding whether or not you would like to participate in specific activities.

You agree to never tamper with, or attempt to cheat, manipulate or otherwise doctor, reverse-engineer, decode or in any way bypass the intended electronic routing of security contained in the normal course of URL exchange within the Site. We reserve the right to terminate any user Account whose Panel Member attempts or attempted to directly manipulate an electronic re-direct link or URL.

If you believe you were erroneously prevented from a correct routing experience by no fault of your own, please contact support@outsizedopinions.com and reference the study number presented at the beginning of the survey. In these instances, Points will be allocated (or not) solely and entirely at the discretion of Outsized Opinions.

QUALITY OF RESPONSE. Outsized Opinions will be the sole and final arbiter of data quality and response validity. The Points awarded for completing each survey or other activity are credited to your Account and are subject to your compliance with all Terms. Rushing through surveys without providing thoughtful answers, answering in random or nonsensical fashion, providing unhelpful, gibberish or non-responsive answers to open-ended questions or providing responses that market research professionals determine to be disingenuous or contradictory, even after successfully completing the survey, will not be awarded Points.

Company reserves the right to remove Points awarded, at its sole discretion, up to 21 days after survey completion if responses are determined upon scrutiny to have been earned without an appropriate response or the appropriate care associated with a valid response.

MINIMUM REDEMPTION AMOUNT. A Panel Member must earn a minimum of 1,000 points (subject to change in Outsized Opinions sole discretion) in order to redeem Points. Unless and until you have accrued and maintained the minimum redemption amount, such Points are deemed a contingent liability, which is entirely contingent upon: (1) your accrual and maintenance of at least the minimum redemption amount in your Account; (2) the verification and validation of responses from Points credited to your Account by market research professionals which may take up to 21 days; and (3) your full compliance with the Terms.

REDEMPTION. You may request the redemption of Points from the items offered on the Site (each a “Reward”) and only as permitted by the Terms. Rewards redeemable for Points may change at any time without notice. Redemption of Points is contingent upon (1) home address validation as described above and (2) the accrual of the minimum number of Points as described above. Rewards, incentives, and prizes are non-transferrable. The Points in your Account have NO CASH VALUE other than the items listed on the Site.

Once a redemption is requested, the Reward will be delivered to you via USPS or electronic mail, entirely at the discretion of Outsized Opinions, within approximately one day to three weeks, depending on delivery method. You are responsible for selecting a secure and reliable mail delivery address for physical gift cards or a secure email address for delivery of electronic payments. We are not responsible for any stolen or lost physical or electronic payments so long as such gift cards were sent to the mailing address or email address indicated in your Account information at the time such payment was requested. If your household mailbox is not secure, we recommend you request to obtain Rewards electronically by writing to support@outsizedopinions.com. Points and Rewards that are undeliverable or unclaimed for whatever reason (including, without limitation, because your Account information is incorrect or outdated) may be forfeited, and the points will not be refunded.

If redeeming Points to an outside third-party account (i.e. Venmo), Outsized Opinions reserves the right to verify the identity of account holders and withhold payment in its sole discretion, if it believes that the identity of the account holder differs from the Panel Member, if it believes the user has violated the Terms, or if it believes that the user has violated federal, state, or local law. Outsized Opinions is not liable for the functionality of third parties that provide services through which a user may redeem Points.

Outsized Opinions may change rules about redeeming Points in your Account at any time and such changed rules will apply to Points already accrued as well as to Points accrued in the future. Redemption minimum is subject to change at any time.

RESTRICTIONS. Points are nontransferable, non-assignable, and may not be pooled (except as explicitly specified in our FUNDRAISING CAMPAIGN sections below), lent, sold, bartered or exchanged. If a transfer is attempted, all Points associated with the account will be voided and the account will be closed.

ADDITIONAL INFORMATION. Outsized Opinions reserves the right, at its sole discretion, to request further information from Panel Members to avoid fraudulent activity. Further, Outsized Opinions reserves the right at its sole discretion to place any payment request on hold, for any reason, until the Panel Member has provided the requested information. Reasonable notice will be given to the Panel Member to provide this information, which must be provided in the method Outsized Opinions deems appropriate. All decisions by Outsized Opinions regarding fraud or suspected fraud are binding and final.

EXPIRATION. All Points expire 24 months from the date that they are credited to your Account. Unredeemed Points, regardless of the number or amount, not redeemed within 24 months of being earned will be forfeited.

TAXES. You acknowledge and agree that we do not have the ability, in every instance, to determine whether the Points, Rewards, prizes, or credits you earned or redeemed in any Rewards Program are considered reportable taxable earnings in your jurisdiction. You are therefore responsible for any and all tax liability arising from or associated with your use of the Site and Features, including liability arising from your accrual of Points or your redemption of such Points for Rewards. As a condition of your continued use of the Site, we reserve the right to require you to provide necessary tax reporting information if our records show that you are or may be required to report the value of your Points, Rewards, prizes, or credits to an appropriate tax authority. We encourage you, and it is your responsibility, to seek advice of a tax expert in order to determine the tax consequences of your use of the Site and Features, and any associated Points, Rewards, prizes, or credits earned or redeemed.

6. USER CONDUCT. You agree that you will not engage in any activity that interferes with or disrupts the Site (or the servers and networks which are connected to the Site). You shall comply with all usage rules found throughout the Site and/or our services, including, without limitation to, the TERMS and any other guidelines posted on any of the Site. For the avoidance of doubt, this includes, without limitation, the following: if you provide any information to Outsized Opinions that is untrue, inaccurate, not current, or incomplete, or if Outsized Opinions has reasonable grounds to suspect such information is untrue, inaccurate, not current, incomplete, or if you register more than once or create multiple user profiles. If you fail to comply with the Terms, Outsized Opinions reserves the right to terminate your membership or use without notice; limit, suspend or terminate your ability to participate in a Fundraising Campaign; and to prevent you from any current or future access to, or use of the Site including the immediate suspension and/or forfeiture of any Points accumulated by you prior to such termination. In addition, by registering as a Panel Member, you agree not to: (a) encourage and/or advise any individual, including, without limitation, any other user or an Outsized Opinions employee, vendor or subcontractor to commit any act(s) prohibited hereunder; use any service to manipulate your computer or identity or other device to gain any advantage on any of our programs or offerings; and/or produce, duplicate, copy, sell, trade or resell our Site and/or Features for any purpose.

7. GEOGRAPHY AND AGE RESTRICTIONS. Registration and participation as a Panel Member is only open to individuals located within the fifty (50) states of the United States of America who are eighteen (18) years of age or older and to minors between the ages of thirteen (13) and seventeen (17) who attest to having permission from their legal parent or guardian. If you sign up and are between the ages of 13 and 17, you expressly confirm that you have obtained permission from your legal parent or guardian before participating. If you are younger than thirteen (13) years of age, you are not eligible to sign up for enrollment or affiliation with Outsized Opinions. Outsized Opinions reserves the right to refuse to offer or provide surveys or reward opportunities to anyone, at any time, at the sole discretion of Outsized Opinions.

8. FOR FUNDRAISING CAMPAIGN ORGANIZERS. Outsized Opinions may create or allow Panel Members to create one or more fundraising campaigns where Panel Members may donate their Points to a charitable cause (each a “Fundraising Campaign”). For the avoidance of doubt, earning and redeeming Points for a Fundraising Campaign is subject to all of other sections set forth in the Terms.

We reserve the right to change, suspend, or cancel all or a portion of a Fundraising Campaign, including any points you may have accrued, at any time without prior notice to you in the case of fraud, illegitimate responses or fictitious participant identities..

RESTRICTIONS. Only registered 501(c)(3) charities, 501(c) nonprofit organizations (NPO) or 501(c) not-for-profit organizations (NFPO) qualify for participation in Fundraising Campaigns.

In compliance with the sign-up process, you confirm that you have the authority and authorization to represent the 501(c)(3) charity or 501(c) nonprofit organization and are authorized to establish the fundraising campaign effort on their behalf. As part of establishment of the Fundraising Campaign effort, you will designate the payable organization and address where funds are to be directed at the conclusion of the fundraising campaign. If you do not have direct authority from within the non-profit or charity, you must designate a contact within the organization with authority to verify and validate the intention of the fundraiser and the distribution of funds, prior to establishment of the Fundraising Campaign. Outsized Opinions may seek written confirmation from the 501(c)(3) charity or 501(c) nonprofit organization, at our sole and absolute discretion, in order to authorize the establishment of the Fundraising Campaign.

You may not misrepresent the intended purpose of the fundraising campaign or your true and genuine affiliation with the 501(c)(3) charity or 501(c) nonprofit organization in compliance with the establishment of the fundraising campaign effort. Misrepresentation of a 501(c)(3) charity or 501(c) nonprofit organization may be punishable by fines or incarceration in compliance with local and national laws.

CREATION OF FUNDRAISING CAMPAIGN. When signing up to establish a fundraising campaign, you will be required to provide information about the charity or non-profit you are fundraising for, including but not limited to: (i) your First and Last name; (ii) your email address; (iii) your phone number; (iv) the Fundraising Campaign “purpose” which will be shared with all contributors and participants; (v) your title within the fundraising organization (if applicable); (vi) the legal name of the specific charity or nonprofit you are fundraising for; (vii) the federal designated non-profit Employment Identification Number (EIN) associated with the 501(c)(3) charity or 501(c) nonprofit; (viii) the duration (end-date) of the fundraising effort; (ix) an authorized contact at the charity or non-profit you are representing with the authority to confirm your fundraising involvement; and (x) the payable address where rewards will be sent at the conclusion of the fundraising campaign.

FUNDRAISING DURATION. The duration of a Fundraising Campaign is set at the time of its creation. A Fundraising Campaign duration can be designated from 1 to 4 months. The duration can be extended once per Fundraising Campaign, but only prior to the initial expiration. Under no circumstances can the duration of a Fundraising Campaign exceed six (6) months.

FUNDRAISING MINIMUM. A minimum of 5,000 Points must be earned per Fundraising Campaign (“Fundraising Minimum”) to qualify for redemption. Unless and until the Fundraising Minimum is achieved, the Points in a Fundraising Campaign are deemed contingent liability and have NO CASH VALUE.

Points for Fundraising Campaigns that do not reach the Fundraising Minimum upon expiration of the Fundraising Campaign will be automatically forfeited. Points cannot be transferred to a personal or individual Account. Fundraising Campaigns cannot be combined.

PAYOUT OF FUNDRAISING CAMPAIGN. At the end of the Fundraising Campaign, if the Fundraising Campaign and you remain in compliance with the Terms, Points which meet or exceed the Fundraising Minimum will be eligible for distribution. Fundraising Campaigns payout cannot occur until the Fundraising Campaign has completed. Outsized Opinions shall payout the Fundraising Campaign Point balance by check sent via the US mail. You are responsible for selecting a secure and reliable mail delivery address for delivery of Fundraising Campaign payment checks. We are not responsible for any stolen or lost checks so long as such checks were sent to the mailing address indicated at the time of establishment of the Fundraising Campaign. There may only be one payout per Fundraising Campaign. Please allow 2-4 weeks for distribution of payment.

ENDING A FUNDRAISING CAMPAIGN EARLY. You may terminate a Fundraising Campaign early by sending Outsized Opinions a request for early termination. In such event, if the Points have not yet met the Fundraising Minimum, then all Points earned shall be forfeited. Ending a Fundraising Campaign early when Fundraising Minimum has been reached may or may not be paid, entirely at the sole and exclusive discretion of Outsized Opinions.

9. SHARING A FUNDRAISER CAMPAIGN. Upon confirmation of the above information, and in association Terms listed herein, we will provide you with a Fundraising Campaign participation code (“Code”) to share with participants. This Code will link your Fundraising Campaign to a Panel Member’s accounts, allowing them to contribute to the Fundraising Campaign. You may also share this Code with others to help drive participation in your fundraising effort. Currently, Outsized Opinions does not have the ability to invite your contacts directly to participate in your fundraising effort.

In sharing or distributing a Code, you agree that, to the best of your knowledge, the Panel Member using the Code are valid and legitimate individuals who will comply with all Terms listed herein. You agree to invite only individuals that you know personally or have a direct affiliation with the nonprofit or charity associated with the Fundraising Campaign.

10. SUPPORTING A FUNDRAISING CAMPAIGN. To participate in a Fundraising Campaign, a Panel Member must enter a valid Code as applicable. Points accrued by a Panel Member prior to commencing participation in a Fundraising Campaign shall remain with the Panel Member, but all points earned DURING the duration of the Fundraising Campaign will be automatically contributed to the Fundraising Campaign. You acknowledge that throughout the duration of the Fundraising Campaign, all Points earned and accrued will be donated directly to the fundraiser specified.

At this time, Panel Members may not participate in multiple Fundraising Campaigns simultaneously. Only one Fundraising Campaign per Panel Member. You may not accrue individual or personal Account Points while participating in a Fundraising Campaign.

EARLY WITHDRAWAL FROM FUNDRAISING CAMPAIGN. You may withdraw from a Fundraising Campaign at any time; any points earned after withdrawal from the fundraising campaign will not be contributed to the fundraiser. Points earned during the Fundraising Campaign cannot be transferred to a personal account.

You may rejoin a Fundraising Campaign once you have withdrawn prior to the Fundraising Campaign conclusion.

11. RESTRICTED CONTENT. In connection with your use of, access to, registration as a Panel Member, and/or participation on the Site, you may have the opportunity to review or access confidential and proprietary information, materials, products, and content (collectively “Restricted Content”) belonging to Outsized Opinions and/or the clients, partners and/or licensors of Outsized Opinions. Restricted Content is and shall remain the sole and exclusive property of the owner of the Restricted Content. In no event shall you obtain or receive any right, title, and/or interest in or to any Restricted Content. You agree to protect the confidentiality and secrecy of the Restricted Content and you agree not to modify, copy, reproduce, republish, display, transmit, distribute, reverse engineer, create derivative works of, decompile, or otherwise use, alter, or transfer Restricted Content without the prior express written consent of Outsized Opinions.

You acknowledge and agree that Restricted Content may be subject to, and protected by, intellectual property laws, regulations, and codes. You further acknowledge and agree that if you breach or otherwise violate the restrictions, limitations, and prohibitions contained in this Section, in addition to any other rights or remedies available to Outsized Opinions, Outsized Opinions may to terminate, prohibit or restrict your use of, access to, and/or participation on the Site.

12. ELECTRONIC SIGNATURES AND AGREEMENTS. You acknowledge and agree that by clicking on the button labeled "SUBMIT", "GET STARTED", “I AGREE”, or “I ACCEPT" or such similar links as may be designated by Outsized Opinions from time to time to participate as a Panel Member, you are submitting a legally binding electronic signature and are entering into a legally binding contract. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Panel Member Terms. Pursuant to any applicable statutes, regulations, rules, ordinances or other laws, including without limitation the United States Electronic Signatures in Global and National Commerce Act (the “E-Sign Act”) or other similar statutes, YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED THROUGH THE SITE OR SERVICES OFFERED BY OUTSIZED OPINIONS. Further, you hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

13. PRIVACY POLICY. We take your privacy seriously. The use of any personally identifiable information you submit to us and your use of the Site and registration and participation as a Panel Member are governed by our PRIVACY POLICY which is also subject to the TERMS.

14. ACCOUNT CLOSURE AND REACTIVATION. You may close your account at any time by selecting the appropriate request from within the Site. Any Points accrued but not redeemed at the time of Account closure will be forfeited. Please allow 1 to 2 weeks after Account closure for discontinuation of all email and/or text communication.

Any Panel Member that has not been logged into his or her Account and/or has neither earned or redeemed Points for 2 years or more may be deemed Inactive and the Account may be closed by Outsized Opinions, in our sole discretion. You may reactivate your Account (subject to such terms, limitations and requirements as we may set forth at any time) by emailing support@outsizedopinions.com. Unredeemed or unredeemable Points earned prior to Account reactivation will have been voided.
